· Assisted go-to-market teams with world-wide launch and expansion of territories for SaaS and software products

· In-depth contract review and negotiation for complex SaaS products (both vendor and supplier side)

· Partnered with members of legal and sales teams in connection with $2.75B acquisition of business unit, including drafting hundreds of NDAs and integration of assigned contracts into contract management system (Conga)

· Managed internal team and coordinated document production in response to audit by patent assertion company

As Staff Attorney, Angela represented agents, lenders and borrowers in connection with syndicated senior secured financings including M&A, term and revolving credit facilities, leveraged buyout and recapitalization transactions

· Drafted and negotiated complex credit documentation including loan agreements, mortgages and deeds of trust, security agreements, intercreditor and subordination agreements, guarantees, landlord waivers, account control agreements, title commitments and policies, insurance-related documentation, legal opinions, term letters and payoff/termination letters

· Reviewed commercial contracts (real estate leases, personal property leases, management, asset purchase, merger, franchise, NDAs and employment-related agreements) and corporate governance documents (articles, bylaws, resolutions, stock purchase agreements, shareholder agreements); drafted and negotiated amendments and waivers as necessary to conform to senior secured credit facility covenants and requirements
